Restructure Update

June 8th 2024

Sunburnt Arts Ltd and Sunburnt Events Ltd (SBA and SBE, respectively) are very excited to share some news with you, and thank the Restructure Committee for their work to get us here.

The final transfer of assets from Red Earth City Pty Ltd (REC) to SBA occurred this week.

We can confirm the following:

  • A Memorandum of Agreement was signed on April 22nd 2024 by all Directors of the three relevant Boards

  • All Intellectual Property pertaining to Burning Seed, including its domain names, trademark and operations drive, are now owned by SBA

  • Cash assets totalling $170,000* remained in the REC bank accounts at the time of drafting the agreement. $130,000 in cash has been donated to SBA**

  • All physical assets stored in the containers near site (and the containers themselves) are currently owned by SBA EXCEPT for “Vinnie’s" Shed”*** which has been retained by REC.

  • The registered companies of SBA and SBE are completely separate entities to Red Earth City Pty Ltd, and share no directors nor shareholders.

  • These orgs and their constitutions were based on the community feedback that formed the Ancient Future Report.

  • There is no service agreement or licensing arrangement with REC for ANY ongoing activities, e.g. all money or activity generated by events are owned and managed by the new structure, independent of REC.

The final stage of the official Restructure program is to ELECT our new Board directors to lead our awesome culture and community through this next BRAND NEW phase! Nominations are OPEN to Voting Members of Sunburnt Arts.

The time for growth, healing, and moving forward is upon us. These orgs and the near completion of the restructure process is the culmination of so many community members' time, brains, and hearts.

THIS is what we have been waiting for (for so many years). 

The Interim Directors of the new structure sincerely thank the officers and shareholders of REC for paving the way to this amazing and much loved burn.
